Terms of engagement

A plain summary of how we contract. The binding terms for any piece of work are the ones issued with that engagement, not this page.

Everything is scoped per phase

Work is agreed one phase at a time. Each phase has a written scope, an estimate of hours, the people assigned to it and a total price. Nothing outside that scope is delivered or invoiced without a separate agreement.

How fees are calculated

Fees are built from hours worked, charged at the rate for the individual doing the work, plus a fixed 20 per cent covering the cost of running the firm, plus GST. The rates that apply to your engagement are set out in your proposal.

Invoicing

Phases are invoiced on completion, unless a longer delivery phase makes monthly invoicing more practical, in which case that is agreed in writing before the phase begins. Payment terms are stated on the invoice.

What you own

Deliverables produced for you during an engagement, including reports, models and design assets, are yours once the phase they belong to has been paid. We retain our own methods, templates and tooling, and we may describe the work in general terms unless you ask us not to.

Confidentiality

We treat everything we see inside your business as confidential and do not name clients publicly without written agreement. We are happy to sign your own confidentiality agreement.

Ending an engagement

You can end an engagement at the conclusion of any phase, and there is no penalty for doing so. If you need to stop mid-phase, we invoice for work completed to that point and hand over what exists.

Conflicts

If we hold a relationship that could reasonably be seen as a conflict with your engagement, we tell you before the work starts and let you decide.

Liability & governing law

Liability limits and the governing law that applies are set out in the engagement letter for each piece of work. If you would like to see our standard terms before enquiring, ask and we will send them.
